1. Introduction

Welcome to Web3Task. These Terms and Conditions ("Terms") govern your use of our website (web3task.com), our software development services, and our proprietary products (such as VoiceToNotes, JukeBox, talesfm, and V3VPN).

By accessing our website, hiring us for a project, or using our applications, you agree to comply with these Terms. If you do not agree with any part of these Terms, please refrain from using our services.

2. Definitions

  • "Company" "We" "Us": Refers to Web3Task.
  • "Client": Refers to any individual or entity hiring Web3Task for development services.
  • "User": Refers to anyone using our website or SaaS applications.
  • "Services": Covers both our custom development work (Agency) and our software products (SaaS).

3. Intellectual Property & Ownership

We believe in clear and fair ownership.

For Agency Clients (Custom Development):

Upon full payment, the Client is granted 100% ownership of the custom software, source code, designs, and deliverables created specifically for their project.

Clients have the right to modify, sell, or transfer your project as you see fit.

• We retain ownership of our underlying pre-existing code libraries (standard generic tools), but you are granted a permanent, worldwide license to use them within your project without restriction.

For SaaS Users (Our Apps):

The content, features, and functionality of our internal products (VoiceToNotes, JukeBox, V3 VPN) are and will remain the exclusive property of Web3Task.

Users are granted a limited, non-exclusive license to use these tools for their intended purpose.

4. Payment and Refunds

Payment Schedule:

For agency projects, payments are due according to the milestones outlined in your invoice or contract.

Taxes:

All fees are exclusive of applicable taxes (such as GST), which are the responsibility of the payer.

Refund Policy (Services):

Due to the nature of custom service work, strictly no refunds are issued for hours already worked or milestones already delivered and approved.

Refund Policy (Subscriptions):

For our SaaS products, you may cancel your subscription at any time. Access remains active until the end of the billing cycle.

5. User Responsibilities & Acceptable Use

Whether you are a Client or a User, you agree not to use our services for:

  • Any unlawful purpose or to solicit others to perform or participate in any unlawful acts.
  • Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
  • Harassment, abuse, or discrimination.
  • Uploading or transmitting viruses or any other type of malicious code.
  • For Web3/Blockchain Users: You are solely responsible for the security of your private keys and wallet access. Web3Task is not liable for assets lost due to user negligence or compromised wallets.

6. Limitation of Liability

Web3Task strives for excellence, but technology is complex.

  • "As Is" Basis: Our services and products are provided "as is" and "as available" without any warranties, either express or implied, regarding uninterrupted use or error-free operation.
  • Liability Cap: To the fullest extent permitted by law, Web3Task shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data). Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

7. Third-Party Links and Tools

Our services may provide access to third-party tools (e.g., OpenVPN, Payment Gateways) over which we neither monitor nor have any control. You acknowledge that we provide access to such tools without any warranties or endorsement.

8. Termination

  • By Client: You may terminate your engagement with us at any time. You will remain responsible for payment of all work completed up to the termination date.
  • By Web3Task: We reserve the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes relating to these Terms will be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.
